Preparing a Business for Sale
This is a joint event with the Association for Corporate Growth (ACG) and the Exit Planning Institute (EPI). Selling a business is generally the single most important financial event in the life of a business owner. It is critical that the owner gets it right. However, too often things go wrong. Selling a business is a complex process. Some aspects are formulaic but many are highly subjective. Layer on top an ever changing market and financing environment. Join us for an interactive panel discussion between an investment banker, a strategic business advisor and a CPA involved in the due diligence process and a Certified Exit Planning Advisor involved in value acceleration. We will discuss the key factors that need to be addressed when readying a business (and the owner) for sale, things that can go wrong and how they can be prevented and best practices that can lead to better results for owners.

Douglas P. Conner, Managing Director at Periculum Capital
Mr. Conner is a Managing Director of Periculum Capital Company. He focuses on corporate development services, including private equity investments and merger and acquisition advisory work.
Before joining Periculum, Mr. Conner was a Principal at BrightPath Capital, Inc. an Indianapolis-based private equity firm he co-founded in 2006. Mr. Conner was also a Principal at Cardinal Ventures, LLC, a family-owned private equity partnership. While at Cardinal, he was involved in approximately 25 platform and add-on transactions and was actively involved in portfolio company oversight.
Prior to joining Cardinal, Mr. Conner was an investment banker at McDonald & Company Securities, Inc., where he was responsible for its corporate finance activities in Indiana. In that capacity, he worked on a wide variety of investment banking transactions, including initial public offerings (IPO’s), debt placements, private equity raises, buy- and sell-side merger and acquisition transactions, valuations, and fairness opinions. He was the lead investment banker on IPO’s for both Shoe Carnival and Crossmann Communities.
Mr. Conner was also a consultant with Bain & Company, Inc. in Boston. While at Bain he worked primarily with Fortune 500 companies on corporate strategy and buy-side acquisition assignments.
Mr. Conner earned a BA in Economics and Mathematics from DePauw University and an MBA from the Harvard Business School, where he was a Baker Scholar. He currently serves as a Director of several private companies involved in manufacturing, distribution, and healthcare.
John Henne, Manager at Katz, Sapper & Miller
John Henne is a manager in Katz, Sapper & Miller’s Audit and Assurance Services Group and has been with the firm since 2003. His primary responsibilities include transaction services, fraud examinations, internal controls analyses and general compliance work.
As a Certified Merger & Acquisition Advisor (CM&AA), John works with key advisors to navigate the due diligence process, providing his clients with timely services to help them make informed decisions. As part of the due diligence process, John prepares quality of earnings analyses, identifies key deal issues and liability exposures, develops EBITDA and cash flow trends and projections, and analyzes working capital trends. He also reviews internal controls and financial reporting as well as prepares and mediates working capital and purchase price adjustments. John also has experience preparing opening balance sheets, performing opening balance sheet audits, analyzing purchase price allocations, and performing impairment testing of goodwill and other intangible assets.
John received a Master of Professional Accountancy degree from Indiana University.
Matt Servies, Partner at Ice Miller
Matt Servies is a Partner in the Firm’s Business Group. He concentrates his practice on providing tax and legal counsel to publicly traded companies, private equity and other alternative investment funds and portfolio companies. Servies has worked extensively in matters relating to corporate acquisitions and reorganizations, partnership matters, fund formation and acquisitions of portfolio companies by private equity funds, real estate finance (including REITs), and structuring inbound and outbound investments.
In addition, Matt has worked with entrepreneurs and high net worth individuals on the legal and tax aspects of business exit strategies, business succession issues, and the creation of sophisticated wealth planning.
Prior to joining Ice Miller, Matt practiced in Atlanta, Georgia with the international law firms of King & Spalding, LLP and DLA Piper LLP (US).
Matt graduated from Xavier University, cum laude with a Bachelor of Arts in Economics. He graduated cum laude from the Tulane University School of Law, and he earned an LL.M. in Taxation from the University of Florida Levin College of Law.
Matt joined Ice Miller in 2012.
