Anatomy of a Deal: M & A Nuts and Bolts
The speakers will discuss the roadmap of a mergers and acquisitions transaction, from the preliminary stage through closing. Topics will include an overview of deal structuring, due diligence, legal documentation, key issues negotiated between buyer and seller, and the closing process. The presentation will cover the perspectives of both buyer’s and seller’s attorneys and accountants.

Peggy Fu, Focus Law Group
Peggy Fu is a corporate attorney with extensive experience advising middle market companies in mergers and acquisitions cross border transactions, joint ventures, and private equity and venture capital investments. She has negotiated deals ranging in size from several million to $500 million, and successfully closed over $3 billion of transactions. Peggy also serves as outside general counsel to growth stage and mature businesses where she advises boards of directors and management teams on corporate governance, business strategy, shareholder dispute resolution, and day-to-day legal matters.
Prior to founding Focus Business Law Group, Peggy was a senior attorney with a leading multinational law firm and represented private and public companies, private equity firms, venture capital firms, and financial institutions. Peggy is a member of the Mergers and Acquisitions Committee of the American Bar Association.
Peggy started her career at Ernst & Young where she was involved in complex audit, tax and mergers and acquisitions engagements. Peggy is a Certified Public Accountant (CPA).
Michael Cole, Audit Partner, HCVT LLP
Michael Cole is an Audit Partner for HCVT’s Long Beach office with over 17 years of experience in public accounting providing audit services and M&A financial due diligence to start-ups, rapid growth to mature companies. Michael’s clients are primarily in the manufacturing, retail and distribution industry, with a niche focus in hotels, food and beverage, transportation and aerospace companies. Michael also assists companies with post-acquisition purchase accounting and analyses of internal controls. Prior to joining HCVT, Michael was audit manager for KPMG LLP in Los Angeles, where he gained extensive experience with performing audits for a variety of public and privately held companies. HCVT is the largest local CPA firm headquartered in Southern California with 11 offices and over 500 professionals.
